1. Agreement to Terms

By using the CTRMotion (ctrmotion.com) service, you agree to these Terms of Service. If you do not agree to these terms, please do not use our service.

• You must be 18 years of age or older to use the service
• You must have the appropriate authority to register on behalf of an organization
• You are responsible for all activities conducted through your account

2. Service Description

CTRMotion is a B2B SaaS platform that provides automated traffic simulation to improve Google Maps and organic search visibility. The platform offers:

• Google Maps listing management and optimization
• Automated visit simulation
• Position tracking and analytics
• Organization-level management tools

We do not guarantee specific ranking results. Results depend on numerous factors beyond our control.

3. Account Registration and Security

• Provide accurate and complete information when registering
• You are responsible for maintaining the security of your password and controlling access to your account
• We recommend enabling multi-factor authentication (MFA)
• Notify us immediately in the event of unauthorized access to your account
• Each individual or organization should maintain only one account

4. Subscription and Billing

Billing Terms

• Payments are processed through Stripe
• Subscriptions renew automatically on a monthly basis until cancelled
• We will notify you at least 30 days in advance of any price changes

5. Cancellation and Refunds

You may cancel your subscription at any time through the platform or via our support service. Cancellation takes effect at the end of the current billing cycle.

6. Acceptable Use Policy

Permitted

• Managing legitimate business listings for which you have authorization
• Using the platform in accordance with its intended purpose

Prohibited

• Manipulating third-party listings or causing harm to competitors
• Circumventing or breaching the platform's security mechanisms
• Unauthorized automation or scraping of the platform
• Sharing your account with third parties
• Reverse engineering, decompilation, or extraction of the platform's source code
• Using the platform in violation of applicable laws

7. Intellectual Property

• The CTRMotion platform, including its code, design, brand, and documentation, constitutes the intellectual property of CTRMotion
• Data you upload to the platform remains your property
• We have the right to use your data solely for the purpose of providing the service

8. Limitation of Liability

• The service is provided on an “as is” (AS IS) basis, without warranties of any kind
• We do not guarantee specific ranking results
• CTRMotion's maximum liability is limited to the total amount paid by you during the preceding 12 months
• We shall not be liable for indirect, incidental, or consequential damages

9. Indemnification

You agree to indemnify CTRMotion against any losses, expenses, or claims arising from your breach of these terms, misuse of the service, or infringement of any third-party rights.

10. Account Suspension and Termination

CTRMotion reserves the right to suspend or terminate an account in the following circumstances:

• Violation of the Acceptable Use Policy (AUP)
• Non-payment
• Legal requirement

Upon suspension or termination:

• Access to the platform will be revoked
• Outstanding invoices remain due
• No refund will be issued for termination due to AUP violations

11. Dispute Resolution

• Any dispute shall first be addressed through negotiation
• If negotiation is unsuccessful, the dispute shall be resolved through arbitration
• Governing law: Laws of Georgia
• Arbitration shall be conducted under standard procedures, in the English language
• Each party shall bear its own legal costs

12. Force Majeure

Neither party shall be liable for non-performance caused by events beyond its reasonable control, including natural disasters, governmental actions, infrastructure outages, and pandemics.

13. General Provisions

• Severability: If any provision is declared invalid, the remaining provisions shall remain in full force and effect
• Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Refund & Cancellation Policy, constitute the entire agreement between the parties
• Assignment: CTRMotion may assign its rights; users may not do so without our prior written consent
• No Waiver: Failure to exercise any right shall not constitute a waiver of that right
• Privacy Integration: The Privacy Policy forms an integral part of these Terms

14. Changes to These Terms

We reserve the right to modify these Terms. We will notify you of significant changes at least 30 days in advance by email or through an in-platform notification. Continued use of the service following such changes constitutes acceptance of the updated terms.
